Our Securities Laws & Capital Markets team acts as domestic counsel to fund raising programs such as IPOs, QIB placements, rights offerings, Institutional Placement Program, follow-on public offers. The team also acts as legal advisors to acquirer’s / merchant bankers in public takeovers, corporate restructuring (buy-backs, delisting, relisting, mergers, reverse mergers, demergers). We have conducted regulatory audits of listed companies and provided advice to promoters and institutions on secondary market transactions, including block deals. We frequently give clients advice on securities law matters, such as insider trading regulations, disclosures required under listing agreements to lessen the risk of legal action due to unfair business practises in the securities market, and corporate governance concerns. The team supports unlisted firms and their promoters by offering direction throughout the IPO preparation process and all post-IPO disclosure requirements.
